We are seeking a Corporate Secretary, but only someone who refuses to settle, who is fearless of pressure and someone who knows how to have fun. You see, Corporate Secretaries here do more than your typical administrative duties. The ideal candidate will work directly with the Victory Square Technologies team, reporting directly to the CEO and members of the executive management team and at times liaise with our 20+ portfolio companies’ teams, to assist in the coordination and preparation of materials and agendas for all meetings of the executive team, providing administrative support to the CEO and executive team by maintaining public company records, filings, drafting and disseminating news releases, closing private placements, working with lawyers on new listings, maintaining corporate books and records, resolutions, calendars and schedules, and preparing correspondence and documentation.

You Have

  • 5 years’ experience in a Corporate Secretary role in a corporate setting
  • Degree or diploma in Office Administration or Office Management
  • A post-secondary school diploma/degree (Accounting or Business concentrations an asset)
  • Superior writing and communication skills
  • Strong computer skills: a high proficiency in MS Office (Word, Excel, PowerPoint and Outlook) is essential, and a basic knowledge of G-Suite is an asset

About the Role

Your day to day responsibilities include but are not limited to

  • SEDAR filings and SEDI filings
  • MCR drafts
  • EDR prep and filing
  • Assisting with private placement closings (i.e. DAPs, treasury orders, and prospectus exemption review)
  • Maintaining minute books and records
  • Director resolution drafts
  • Maintenance of stock option plans
  • Drafting Board and committee minutes
  • Prepares correspondence for Executive team and interacts with clients and stakeholders
  • Prepares internal and external documentation including letters, reports, and presentations
  • Maintains records and filing systems of electronic and paper documents
  • Compiles data and research and creates reports on behalf of the Executive team
  • Corporate records
  • Subsidiary management
  • Compliance with federal and provincial board governance laws
  • Governance liaison for officers and directors
